Code of Conduct

True & North

Version: 1.1 Date: October 16, 2025

Introduction: Our commitment to Ethical Excellence

At True & North, our reputation is built on the trust of our clients, the integrity of our people, and the quality of our services. This Code of Conduct is our guide to upholding that trust. It translates our values into action and sets the standard for professional and ethical behaviour for our entire global, remote team.

Our commitment is simple: to always do the right thing and conduct our business with the highest level of integrity.

Scope

This Code applies to everyone who represents our company, including all employees, contractors, and partners, in all locations where we operate. We expect every member of our team to read, understand, and adhere to these principles in their daily work.

Our Core Principles

A. Integrity and Honesty

  • Honest Dealings: We are truthful and transparent in all our communications with clients, suppliers, and each other. We do not make promises we cannot keep and represent our services and capabilities accurately.
  • Anti-Bribery and Corruption: We have a zero-tolerance policy for bribery and corruption. No one at our company will ever offer, solicit, or accept bribes, kickbacks, or any other improper payments to gain a business advantage.

B. Professionalism and Respect

  • Dignity at Work: We are committed to a work environment built on mutual respect. As outlined in our HR & Wellbeing Policy, we do not tolerate harassment, discrimination, bullying, or any behavior that creates an intimidating or offensive atmosphere.
  • Commitment to Clients: Our success depends on our clients’ success. We are dedicated to delivering high-quality training services, meeting our commitments, and providing exceptional value.
  • Inclusive Communication: As a global team, we are mindful and respectful of different cultures, perspectives, and time zones. We communicate professionally and constructively at all times.
  • Inclusivity and Accessibility: We are committed to creating and delivering training materials that are accessible and inclusive. Our content is designed to be respectful and representative of the diverse populations we serve, ensuring an equitable learning experience for all participants.

C. Confidentiality and Data Protection

  • Protecting Information: We are entrusted with sensitive information from our clients, partners, and employees. We have a fundamental responsibility to protect this confidential information and any personal data we handle. It must only be used for legitimate business purposes.
  • Digital Security: All team members are required to follow our company’s security protocols, including using secure networks, strong passwords, and two-factor authentication. This is critical to protecting our digital assets and client data.

D. Conflicts of Interest

  • Duty of Loyalty: All team members have a duty to act in the best interest of True & North. A conflict of interest arises when personal interests or activities interfere—or appear to interfere—with this duty.
  • Disclosure: All potential conflicts of interest must be disclosed to company leadership immediately. This includes, but is not limited to, significant financial interests in a competitor, client, or supplier, or outside employment that could impact your role with our company.

E. Compliance with Laws

  • Legal Adherence: We respect and comply with all applicable laws and regulations in the countries where we operate, including those related to labor, data privacy, and international trade.

Speaking Up: Reporting and Accountability

  • Duty to Report: If you witness or suspect a violation of this Code, our policies, or the law, you have a responsibility to report it to company leadership.
  • No Retaliation: We are committed to fostering an environment where everyone feels safe to speak up. True & North strictly prohibits any form of retaliation against an individual for making a good-faith report of a potential violation.
  • Consequences: Violations of this Code of Conduct will be taken seriously and may lead to disciplinary action, up to and including termination of employment or contract.

Review

This Code of Conduct will be reviewed annually.
